Abstract The national willingness, transferring value, and joint arrangements of technology transfer jointly determine the development trend of the commercialization of deepsea technology. However, the mechanism is prone to fail due to unfair commercial conditions for transferring, asymmetric transaction information, and ineffective arrangements of joint corporate. In order to realize the rational regulation of deepsea technology transfer in line with the United Nations Convention on the Law of the Sea, the following measures should be referred to meet the challenges: to make a balance between the intellectual property protection and the creation of reasonable business terms, to publicize transaction information concerning deepsea technology in a rational way, and to transfer deepsea technology within the joint enterprise effectively. At present, China should take the opportunity to participate in the development of the Regulations on Exploitation of Mineral Resources in the Area and actively promote relevant position and proposition to ensure that the international cooperation could achieve a fair share of the rights of deep seabed mineral resources.
